QFG Alpha Group Terms And Conditions

Your participation in any QFG Alpha Group, including but not limited to the Questrade Alpha Group, the Flexiti Alpha Group, or the Zolo Research Panel (collectively the “Alpha Groups” and each an “Alpha Group”), is subject to these Terms and Conditions. Please review them carefully.

Purpose

  1. The purpose of the Alpha Groups is to solicit Feedback (as defined below) from selected users of Questrade Financial Group Inc. (“QFG”)’s products and services. QFG (the “Company”, “Us”, or “We”) includes Questrade, Inc., Questrade Wealth Management Inc., Community Trust Company, Zolo Ventures Ltd. (and its subsidiaries), and Flexiti Financial Inc. (and its subsidiaries) (each an “Affiliate”). We will operate the Alpha Groups on an ongoing basis, subject to the terms of these Terms and Conditions.

Eligibility

  1. To participate in an Alpha Group, you must be a current customer of at least one Affiliate. Employees, vendors, and affiliates of any Affiliate are not eligible to participate in the Alpha Groups. By participating as an Alpha Group member, you confirm you meet these eligibility requirements.

  1. You may only maintain a single membership for each Alpha Group. You may not submit more than one membership application for a single Alpha Group under the same or different names. You may not transfer your membership(s) to anyone else or share any Alpha Group communications.

  1. We may add other Alpha Group eligibility requirements from time to time. By continuing to participate after we have notified you of any new Alpha Group eligibility requirements, you will be confirming that you meet those additional requirements.

Confidentiality

  1. Confidential Information” means any information relating to the Company and/or its products, services, customers, suppliers or other parties connected to the Company, in any form, that the Company has disclosed or made available to you or that you otherwise have access to through participation in the Alpha Groups or any Study (as defined below). Confidential Information does not include information that the Company has made readily available to the general public.

  1. All Confidential Information is and shall remain the property of the Company, and you agree to (a) not use Confidential Information for any reason other than the participation in Studies, without the Company’s prior written consent; and (b) return to the Company all Confidential Information upon request. 

Privacy

  1. “Personal Information” is any information about an identifiable individual. It may include, without limitation, an individual's name, age, date of birth, home address, social insurance number, marital status, income, account number, client identification number, personal email address and messages, and Internet Protocol (IP) address. Personal Information doesn't include business contact information of an individual which is collected, used, or disclosed solely for the purposes of communicating or facilitating communication with the individual in relation to their employment, business, or profession. Personal Information also doesn’t include any information that is aggregated or anonymized.

  1. The collection, use and disclosure of your Personal Information for the purposes of the Alpha Groups shall be governed by QFG’s Privacy Policy in effect and as amended:

  1. You confirm that you have provided Us with up-to-date and accurate contact information, including your name and contact information to ensure you can be reached for Studies and incentives. If any of your information changes, you agree to promptly update your account information.

Participation

  1. As an Alpha Group member, you may be invited to participate in research studies, surveys or other engagement opportunities (“Study” or “Studies”).

  1. Your participation in an Alpha Group and invitation to participate in any Study is subject to the Company’s discretion and approval. The Company may change or cancel a Study at any time in its sole discretion.

  1. Your participation in an Alpha Group and/or any Study does not in any circumstances create any kind of employment relationship with Us.

  1. Studies may occur in various formats, and request that you: (a) answer questions about yourself and how you use financial products and/or services; (b) provide product or service improvement feedback; (c) interact with website or mobile application software or functionality in development, which has not yet finalized for public release (“Beta Version”) while We monitor such interaction; (d) participate in interviews or focus groups conducted by the Company or its representatives in person, remotely, or via other means; or (e) respond to other requests from time to time.

  1. Participation in each Study is completely voluntary. While participating in a Study, you might share suggestions, comments, questions, ideas, or other technical information (“Feedback”) with the Company. You agree that all Feedback will be truthful and accurate, and provided in good faith. Any Feedback you provide to the Company will become the Company’s property. The Company will have no obligation to you or any other party with respect to your Feedback, including any obligation to (a) review the Feedback; (b) make payments in connection with the Feedback; or (c) keep the Feedback confidential. The Company may freely use or redistribute your Feedback in any way and for any purpose. This section applies regardless of anything you state to the contrary when you submit Feedback.

  1. If We have invited you to participate in a Study and you have agreed to participate, We may record your voice, likeness and/or other attributes in the course of obtaining your Feedback. When We do so, you hereby grant the Company an irrevocable, world-wide, sub-licensable licence to use your voice, likeness or other attributes, in whole or in part, in any manner and for any purposes connected with the Study and/or the operation of the Alpha Group, including without limitation for assessment and training purposes. Notwithstanding the foregoing, the Company will comply with all obligations under privacy laws with respect to any Personal Information it collects during a Study.

  1. In the course of your participation as an Alpha Group member, you will comply with all applicable laws. Without limiting that obligation, you will not harass any other party or include any defamatory, obscene, offensive or abusive language, images or other content in your Feedback or any other communications.

  1. Incentives may be offered for participation in a Study, and may vary by Study. The nature of any applicable incentive will be set out in the invitation email you receive.

  1. Your participation in an Alpha Group is at your own risk. We make no representations or warranties about any Confidential Information, Beta Versions, or other products or services used in connection with any Study and provide them strictly “as is” and “as available”. Without limiting the statements above, the Company is not responsible for any (a) service shortfall, error or failure; (b) any failure of a Beta Version to meet your expectations; (c) viruses or other malware; or (d) downtime or failed connections. We may discontinue or modify a Beta Version, or other product or service at any time. Your use of products and services, including Beta Versions, for the purposes of a Study may be subject to additional Terms and Conditions as stipulated by the Company.

  1. Without limiting section 18 above, the Company will not have any liability whatsoever to any party in connection with any Alpha Group, any Study, and/or your participation as an Alpha Group member. If you suffer any damages of any kind or have any dispute with the Company with respect to any Alpha Group, any Study or your participation as an Alpha Group member, your sole remedy is to withdraw from the Alpha Group(s).

Indemnity

  1. You agree to indemnify and hold harmless the Company (including all Affiliates) from any damages, claims, losses, fines, penalties and/or third party claims suffered or made against any or all of the Company, or any combination of them, which have resulted from your negligence, willful misconduct and/or breach of these Terms and Conditions.

Withdrawal or Termination

  1. You may withdraw from the Alpha Groups at any time by providing notice to the appropriate email address specified in the invitation, correspondence, or Study instructions provided to you for the applicable Alpha Group.

  1. The Company may, in its sole discretion, terminate any Alpha Group or your participation in the Alpha Groups or any Study at any time upon providing notice to you.

General

  1. A person who is not a party to these Terms and Conditions has no right to enforce or to enjoy the benefit of any term of these Terms and Conditions.

  1. These Terms and Conditions shall be governed by and construed in accordance with the laws of the Province of Ontario. The parties agree to submit to the non-exclusive jurisdiction of the courts of Ontario.

  1. If a court or other tribunal of competent jurisdiction should hold any of the provisions of these Terms and Conditions to be illegal, invalid, or unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary so that these Terms and Conditions shall otherwise remain in full force and effect.

  1. The prevailing party in any action to enforce these Terms and Conditions shall be entitled to reasonable out-of-pocket costs, including legal fees.

  1. We may assign the entirety of Our rights and obligations hereunder to an affiliated company (as defined in the Business Corporations Act (Ontario)) without notice to You but You shall have no right to assignment hereunder without Our prior written consent.
